1. Introduction

Welcome to Barakah IT ERP. These Terms and Conditions ("Terms") govern your access to and use of the Barakah IT ERP software-as-a-service platform, our website ([Your Website Address]), and any related services (collectively, the "Service"). The Service is provided by Barakah IT ("Company," "we," "us," or "our").

By registering for, accessing, or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization or entity ("Organization"), then you are agreeing to these Terms on behalf of that Organization, and you represent and warrant that you have the authority to bind the Organization to these Terms. In that case, "you" and "your" will refer to that Organization.

If you do not agree with any part of these Terms, you must not use the Service.

2. Definitions

1. "Service" refers to the Barakah IT ERP platform, a SaaS solution powered by Barakah IT, including all software, features, data, and content made available to you.
2. "User" or "You" refers to the individual or Organization that has registered for and uses the Service.
3. "Subscription" refers to the plan you select to access the Service, which may have specific features, usage limits, and a set duration.
4. "User Content" means all electronic data, text, documents, or other materials submitted to the Service by you or your authorized users.

3. The Service & License

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Service during your Subscription term, solely for your internal business operations.

4. User Accounts & Responsibilities

1. Account Creation: To use the Service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate.
2. Account Security: You are responsible for safeguarding your password and any other credentials used to access your account. You are responsible for all activities that occur under your account, whether or not you have authorized them. You must notify us immediately of any unauthorized use of your account.
3. Authorized Users: You are responsible for the actions of all users operating under your account and for ensuring their compliance with these Terms.

5. Subscriptions, Fees, and Payment

1. Subscription Fees: You agree to pay the fees associated with your chosen Subscription plan. All fees are quoted in [Specify Currency, e.g., USD, AED] and are non-refundable, except as required by law.
2. Billing Cycle: The Service is billed on a subscription basis in advance (e.g., monthly or annually).

6. Acceptable Use Policy

You agree not to use the Service to:

1. Upload, post, or transmit any User Content that is unlawful, harmful, defamatory, obscene, or infringing on intellectual property rights.
2. Violate any applicable local, state, national, or international law.
3. Attempt to gain unauthorized access to the Service, other users' accounts, or our computer systems or networks.
4. Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Service.
5. Use the Service to build a competitive product or service.
6. Interfere with or disrupt the integrity or performance of the Service.

7. Intellectual Property

1. Our Intellectual Property: The Service, its underlying technology, and all related intellectual property rights, including but not limited to software, trademarks (including "Barakah IT ERP" and "Barakah IT"), graphics, and website content, are the exclusive property of Barakah IT and its licensors. These Terms do not grant you any rights to our trademarks or other intellectual property except for the limited license to use the Service.
2. Your User Content: You retain all ownership rights to your User Content. You grant us a worldwide, non-exclusive, royalty-free license to host, store, transfer, display, and process your User Content solely for the purpose of providing and improving the Service for you. We will treat your User Content as confidential information.

8. Termination

1. Termination by You: You may cancel your Subscription at any time. The cancellation will take effect at the end of your current billing cycle, and you will not be charged for the next cycle.
2. Termination by Us: We may suspend or terminate your access to the Service, with or without notice, for any breach of these Terms, including non-payment of fees.
3. Effect of Termination: Upon termination, your right to use the Service will immediately cease. We are not responsible for retaining your User Content post-termination and may delete it in accordance with our data retention policies. It is your responsibility to export your data before termination.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, BARAKAH IT EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL BARAKAH IT, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (II) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS AND/OR ANY PERSONAL INFORMATION STORED THEREIN; (III) ANY BUGS, VIRUSES, OR TROJAN HORSES THAT MAY BE TRANSMITTED TO OR THROUGH OUR SERVICE BY ANY THIRD PARTY.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, WHETHER IN CONTRACT, TORT, OR OTHERWISE, IS LIMITED TO THE AMOUNT OF FEES YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to defend, indemnify, and hold harmless Barakah IT and its affiliates, officers, directors, and employees from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from your use of the Service or your violation of these Terms.

12. Modifications to the Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or through a notice on the Service at least thirty (30) days before the changes take effect. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes.

13. Governing Law and Dispute Resolution
